By accessing or using Clarity's website, applications, or services (collectively the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, please discontinue use immediately.

2. Our Services

Clarity provides investment analytics tools including performance evaluation, portfolio tracking, custom index creation, historical datasets, and API access ("Features"). Plans include Basic (free), Pro, and Enterprise tiers.

3. Registration & Account

• Users must create an account to access certain features.
• You agree to provide accurate information and maintain the security of your login credentials.
• You are responsible for all activities under your account.

4. Subscription, Billing & Payment

• Pro and Enterprise plans are billed monthly or yearly, depending on your selection.
• Payments are accepted via credit or debit card through secure processing.
• You may upgrade or downgrade at any time. Changes take effect in your next billing cycle.

5. Refund Policy

All payments are non-refundable. You may cancel your subscription at any time, and you will retain access until the end of your current billing period.

6. Downgrade & Data Retention

If you downgrade to a plan with lower limits, your data remains safe. You can still access existing portfolios and indices but cannot add new ones until you upgrade again.

7. License & Use of Service

We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal or internal business purposes. You may not reverse-engineer, resell, or distribute any part of the Service or its data without permission.

8. User Content & Data

• You retain ownership of your portfolios, indices, and uploads ("User Content").
• By submitting content, you grant Clarity a license to store and use it to provide the Service.
• You confirm that your content complies with all applicable laws and does not infringe third-party rights.

9. Restrictions & Prohibitions

• Do not use the Service for illegal or unauthorized purposes.
• Do not interfere with or disrupt the Service or its systems.
• Do not use automated tools to extract or scrape data beyond authorized API usage.
• Do not share your account credentials or use another user's account.

10. API Access (Enterprise Plan)

Enterprise users will receive in the future (undetermined) enhanced API access with specified limits. You must comply with API documentation and usage rules. Abuse, excessive requests, or violations may result in suspension or throttling.

11. Intellectual Property

All rights, titles, and interests in the Service, including software, design, data, and branding, belong to Clarity or its licensors. You may not use our trademarks or content without prior written consent.

12. Disclaimers & Risk

The Service is provided "as is" and "as available." We do not guarantee profits, outcomes, or absolute accuracy. Past performance does not guarantee future results. Always exercise independent judgment before making investment decisions.

13. Limitation of Liability

To the maximum extent permitted by law, Clarity and its affiliates are not liable for any indirect, incidental, consequential, or special damages, including lost profits or data. Our total liability will not exceed the amount you paid in the previous 12 months.

14. Termination

We may suspend or terminate access if you violate these Terms. You may cancel anytime. Upon termination, your access ends but your data may be retained for backup or legal compliance.

15. Changes to Terms

We may modify these Terms periodically. Updates will be posted here with a new effective date, and continued use constitutes acceptance of the revised Terms.
